§ I — Purpose & acceptance

Why this page exists.

This website (graveyard.vc) is operated by Graveyard.vc, the wind-down practice of LegalForce RAPC Worldwide P.C., a California-licensed law firm operating from Menlo Park. The site exists to inform founders, investors, counsel, and other stakeholders about Assignments for the Benefit of Creditors and adjacent wind-down services for venture-backed startups.

By using this site, sending us a Confidential Intake, or otherwise communicating with us through the site, you agree to these Terms of Use along with the Privacy Policy and the Confidentiality Policy. If you do not agree, please do not use the site.

§ II — No engagement formed by site visit

Visiting does not create a relationship.

Visiting graveyard.vc, reading its pages, browsing the FAQ, or downloading any document from it does not create:

  • An attorney-client relationship with LegalForce RAPC Worldwide P.C. or any of its attorneys
  • An assignee-assignor relationship with Graveyard.vc
  • A fiduciary, advisory, financial, or consulting engagement of any kind
  • Any obligation on our part to you, or yours to us, beyond the obligations expressly set out in these Terms and the linked policies

An actual engagement with us is formed only after a written engagement letter is signed by both you (or the relevant company or board) and an authorized practitioner at Graveyard.vc. No verbal exchange, email, intake form, or Triage AI memo creates an engagement on its own.

If you need legal advice about your specific situation, retain a lawyer. The information on this site is general; your situation is not.

§ III — The Confidential Intake

What submitting an intake means.

The Confidential Intake form is provided so that founders, investors, counsel, and other stakeholders can describe a situation to us and request a Triage AI memo or follow-up conversation. By submitting the form:

  • You are not retaining us. You are inviting us to evaluate the situation.
  • You confirm that the information you provide is, to your knowledge, accurate and that you have the authority to share it
  • You acknowledge that the Triage AI memo and any follow-up are general assessments — not legal opinions and not a substitute for retained counsel
  • You agree that we may decline to take on the matter, and that we will tell you within a reasonable time if we are doing so

We treat intake information as confidential per our Confidentiality Policy. We do not, however, treat intakes as creating any duty beyond what is described in that policy and these Terms.

§ IV — Site content & intellectual property

What you can copy.

The text, design, code, illustrations, the Buyer Graph methodology, the Triage AI engine, the engagement-letter framework, and the overall presentation of graveyard.vc are owned by LegalForce RAPC Worldwide P.C. and its affiliates, except where credited otherwise. They are protected by copyright, trademark, and other applicable intellectual property laws.

You may:

  • Read, save, and print pages for your own personal or professional reference
  • Quote brief portions of the site in articles, presentations, or court filings, with attribution
  • Share links to specific pages

You may not:

  • Reproduce substantial portions of the site for commercial purposes without written permission
  • Use our marks, including "Graveyard.vc," "Trademarkia," "PatentVC," and "LegalForce RAPC," in a way that suggests endorsement or affiliation that does not exist
  • Scrape the site to train AI models or commercial datasets

§ V — Permitted use

Reasonable conduct.

You agree not to use the site in any way that:

  • Violates law or the rights of others
  • Attempts to gain unauthorized access to our systems or any user's account
  • Uploads malicious code, scripts, or content designed to disrupt the site
  • Uses automated tools to scrape, crawl, or extract content beyond standard search-engine indexing
  • Submits intentionally false information through the Confidential Intake
  • Impersonates another person, company, or entity

We reserve the right to block access from any IP address or refuse to engage with any party that violates these limits.

§ VI — Disclaimers

Things to understand.

The information on this site is provided "as is" for general informational purposes. While we work to keep it accurate and current, we make no warranty — express or implied — that:

  • The site will be uninterrupted or error-free
  • Any specific outcome will result from following information on the site
  • The site is free of viruses or harmful components
  • Information about third parties (including any firms named on the site) is exhaustive — only that, where stated as fact, it is sourced from public materials we believe to be reliable

Wind-down outcomes depend on facts we do not know until we are engaged. Recovery estimates, timelines, and tier assignments described on the site are illustrative; actual outcomes vary based on the specific company, assets, creditor profile, and market conditions.

§ VII — Limitation of liability

Limits on damages.

To the maximum extent permitted by California law, neither Graveyard.vc, LegalForce RAPC Worldwide P.C., nor any of our affiliates, officers, employees, or contractors shall be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of this site — including loss of profits, business opportunities, data, or goodwill — even if we have been advised of the possibility of such damages.

Our total aggregate liability arising from your use of this site (excluding any liability arising from a signed engagement letter, which is governed by that letter) is limited to one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent any limitation in this section is unenforceable in your jurisdiction, the limitation will apply to the maximum extent permitted by law.

§ VIII — Indemnification

Your obligation.

You agree to defend, indemnify, and hold harmless Graveyard.vc, LegalForce RAPC Worldwide P.C., and our affiliates, officers, employees, and contractors from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms
  • Your violation of any law or third-party right in connection with your use of the site
  • False or misleading information you provide through the Confidential Intake or other communication channels

External resources.

This site links to external resources — including pages at trademarkia.com, patentvc.com, legalforce.com, and other third-party domains. We do not control these external sites and are not responsible for their content, privacy practices, or policies. Linking does not imply endorsement.

§ X — Governing law & forum

Where disputes are heard.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the site shall be resolved exclusively in the state or federal courts located in San Mateo County, California (or, for federal matters, the Northern District of California). You consent to personal jurisdiction in those courts.

Disputes arising from a signed engagement letter are governed by the dispute-resolution provisions of that engagement letter, not by this section.

§ XI — Changes to these terms

When we update.

We update these Terms when our practices, the law, or our judgment about clarity changes. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the site after a revision means you accept the updated Terms. Material changes will be noted in a banner on this page for at least 30 days.
